1. Services
Smer provides digital design services, including product design (mobile and web applications), web design, Framer development, and brand identity design. The specific scope, deliverables, timeline, and price of any engagement are defined in a written proposal, quote, or agreement confirmed by both parties before work begins ("Project Agreement").
2. Quotes & Pricing
Prices listed on the Website are indicative starting prices. Final pricing is confirmed in the Project Agreement based on the agreed scope. Quotes are valid for 14 days from issue unless stated otherwise. All prices are stated in USD (or CZK, EUR where agreed). Smer is not a VAT payer; prices are final and no VAT is charged.
3. Payment Terms
Projects require an upfront deposit of 50% before work begins, with the remaining balance due upon completion and before final handover of deliverables, unless the Project Agreement states otherwise.
Invoices are payable within 14 days of issue.
Accepted payment methods: Contra payment, Payoneer, Wiyze or other methods specified on the invoice.
Late payments may be subject to statutory interest under Czech law and suspension of work until payment is received.
4. Client Responsibilities
To keep projects on schedule, the client agrees to:
Provide necessary materials (content, brand assets, access credentials) in a timely manner;
Provide consolidated feedback within 5 business days of each review request;
Ensure that all materials supplied to smer do not infringe third-party rights.
Delays in client feedback or materials may extend the project timeline accordingly.
5. Revisions & Scope Changes
Each Project Agreement includes a defined number of revision rounds (default: 2). Requests beyond the agreed scope or revision rounds ("scope changes") will be quoted separately and require written approval before additional work begins.
6. Intellectual Property
Upon receipt of full payment, the client receives full ownership of the final deliverables created specifically for the project.
Smer retains ownership of preliminary concepts, unused drafts, and proprietary tools, components, or processes used in creating the deliverables.
Third-party assets (fonts, stock imagery, plugins, templates) are subject to their own licenses, which the client is responsible for maintaining after handover.
Until full payment is received, all deliverables remain the property of Smer and may not be used commercially.
7. Portfolio Rights
Smer reserves the right to display completed work in its portfolio, on social media, and in marketplaces (e.g., Behance, Dribbble, personal website) and to describe the nature of the engagement, unless a confidentiality arrangement is agreed in writing before the project begins.
8. Third-Party Platforms
Services may involve third-party platforms (e.g., Framer, Figma, hosting providers). Smer is not responsible for changes to, outages of, or pricing of such platforms. Subscriptions required to operate deliverables (e.g., Framer hosting plans) are the client's responsibility unless agreed otherwise.
9. Cancellation & Termination
Either party may terminate a project in writing.
If the client terminates, the deposit is non-refundable, and any work completed beyond the deposit's value will be invoiced proportionally.
If Smer terminates for reasons other than client breach, payments for undelivered work will be refunded proportionally.
10. Warranties & Liability
Services are provided with professional care and skill. However, Smer does not guarantee specific business outcomes (e.g., conversion rates, revenue, search rankings).
Deliverables are provided "as is" after final acceptance. Post-launch support, if any, is defined in the Project Agreement.
To the maximum extent permitted by law, Smer's total liability arising from any project is limited to the total fees paid by the client for that project. Smer is not liable for indirect or consequential damages, including lost profits or data.
11. Website Use
The content of this Website (text, design, graphics, case studies) is the property of Smer and may not be reproduced without permission. The Website is provided "as is" without warranties of any kind. We may update the Website and these Terms at any time; the current version is always available on this page.
12. Privacy
Personal data submitted through this Website (e.g., via booking or contact forms) is processed in accordance with our [Privacy Policy] and applicable law, including the GDPR.
13. Governing Law & Disputes
These Terms and all Project Agreements are governed by the laws of the Czech Republic. Any disputes will be resolved by the competent courts of the Czech Republic, unless mandatory consumer protection rules provide otherwise. Both parties agree to attempt good-faith negotiation before initiating formal proceedings.
